PALM BEACH COUNTY, FL (BocaNewsNow.com) (Copyright © 2024 MetroDesk Media, LLC) — One time Miss America CEO Robin Fleming is facing a civil suit in Palm Beach County in which she is accused of paying herself hundreds of thousands of dollars without authorization, renaming entities to benefit her businesses, and pushing sponsors to those businesses instead of the Miss America organization.

We note a civil suit is an accusation. The merits of the suit will be determined in Palm Beach County Circuit Court. There is no criminal proceeding against Ms. Fleming in Palm Beach County. For purposes of this lawsuit, the following abbreviations are used: MAC is Miss America Competitions, LLC; MAIP is Miss America Intellectual Property; MASF is Miss America Scholarship Foundation; and MAOT is Miss America Outstanding Teen.

Among the accusations made against Robin Fleming, according to the complaint obtained by BocaNewsNow.com and republished in its entirety below: “While acting as the Manager, President and CEO of MAC, MAIP and MAO Holding, and contrary to her duties and responsibilities to the Plaintiff Companies, Robin Fleming directed business clients and corporate opportunities away from the Plaintiff Companies MAC, MAIP and MAO Holding and to the asset Defendant Fleming converted to herself being, MASF, for her personal benefit, and on information and belief, for the financial benefit of, Liam Fleming and Mackenzie Fleming. Defendant Fleming, without the Plaintiff Companies’ knowledge and consent, took and converted for her own personal financial benefit and use, the MAOT asset which was sold and conveyed to the Plaintiff Companies in the APA and Defendant Fleming, in an effort to conceal her conversion of the MAOT asset, changed the name assigned to the asset from Miss America Outstanding Teen Inc (“MAOT”) to The Miss America Scholarship Foundation, Inc. (MASF).

While acting as the Manager, President and CEO of MAC and MAIP, and in breach of her job duties and responsibilities and fiduciary obligations, Robin Fleming paid herself an amount in excess of Two Hundred Thousand Dollars ($200,000.00) from MAIP’s bank account without proper authority or approvals from the Director and sole Member of MAIP to whom she reported. While acting as the Manager, President and CEO of MAC and MAIP, and in breach of her job duties and responsibilities and fiduciary obligations, Robin Fleming refused to cooperate with the auditors for MAC, MAIP and MAO Holding, intentionally refusing to provide the auditors with corporate financial documents and passwords and QuickBooks access of MAC, MAIP and MAO Holding, and concealed and destroyed additional corporate financial documents of MAC, MAIP and MAO Holding.”

The suit seeks in excess of $50,000 which is the statutory minimum for filing in Palm Beach County Circuit Court.   1. This woman’s reputation precedes her, so this is no surprise. The sad thing is, from the court filings, it appears she engineered the purchase of a struggling, but nonetheless iconic American non profit organization and turned it into an LLC to line her own pockets.
